REGULATED INFORMATION ANNOUNCEMENT - Notification of significant changes in voting rights pursuant to Law 3556/2007 and Disclosure of Transactions of Persons Discharging Managerial Responsibilities (PDMR) in accordance with Regulation (EU) 596/2014.

The Société Anonyme under the name "N. VARVERIS - MODA BAGNO SANITARY WARE TILES AND FURNITURE, INDUSTRIAL AND COMMERCIAL SOCIETE ANONYME" and the distinctive title "N. VARVERIS – MODA BAGNO S.A.", headquartered in Chalandri, Attica, at 50 Anapafseos Street, with Tax Registration Number 094078571 (the "Issuer"), pursuant to the provisions of Law 3556/2007 and Regulation (EU) 596/2014 of the European Parliament and of the Council on market abuse (Market Abuse Regulation 596/2014), as in force, following the notifications received on 26.05.2026 from the Managing Directors of the Issuer, namely Alexandros Varveris and Filippos Varveris, hereby informs the investing public that:

• Alexandros Varveris, who prior to the current change held 373,930 shares of the Issuer in his personal account, corresponding to 1.99% of its share capital and voting rights, as of 25.05.2026 directly holds a total of 5,891,348 shares (through his personal account and his participation in Joint Investor Accounts), corresponding to a percentage of 31.32% of the Issuer's share capital and voting rights. This change resulted from the creation of Joint Investor Accounts (JIA), and specifically:
  • A JIA was established with Nikolaos-Eleftherios Varveris and Alexandros Varveris as co-beneficiaries, through the transfer (from the personal account of Nikolaos-Eleftherios Varveris to the said JIA) of 3,548,055 shares, corresponding to a percentage of 18.86% of the Issuer's share capital and voting rights.
  • A JIA was established with Angela Varveris and Alexandros Varveris as co-beneficiaries, through the transfer (from the personal account of Angela Varveris to the said JIA) of 1,969,363 shares, corresponding to a percentage of 10.47% of the Issuer's share capital and voting rights.
• Filippos Varveris, who prior to the current change held 309,870 shares of the Issuer in his personal account, corresponding to 1.65% of its share capital and voting rights, as of 25.05.2026 directly holds a total of 5,827,288 shares (through his personal account and his participation in Joint Investor Accounts), corresponding to a percentage of 30.98% of the Issuer's share capital and voting rights. This change resulted from the creation of Joint Investor Accounts (JIA), and specifically:
  • A JIA was established with Nikolaos-Eleftherios Varveris and Filippos Varveris as co-beneficiaries, through the transfer (from the personal account of Nikolaos-Eleftherios Varveris to the said JIA) of 3,548,055 shares, corresponding to a percentage of 18.86% of the share capital and voting rights.
  • A JIA was established with Angela Varveris and Filippos Varveris as co-beneficiaries, through the transfer (from the personal account of Angela Varveris to the said JIA) of a participation of 1,969,363 shares, corresponding to a percentage of 10.47% of the share capital and voting rights.

It is noted that the voting right percentages held by Nikolaos Varveris and Angela Varveris are not altered due to the establishment of the aforementioned JIAs. Specifically:

• Nikolaos Varveris aggregately holds 9,520,089 shares of the Issuer, corresponding to a percentage of 50.61% of the Issuer's share capital and voting rights (i.e., a percentage of 12.89% through his personal account, 18.86% through the JIA as co-beneficiary with Filippos Varveris, and 18.86% as co-beneficiary with Alexandros Varveris).
• Angela Varveris aggregately holds 6,070,726 shares of the Issuer, corresponding to a percentage of 32.27% of the Issuer's share capital and voting rights (i.e., a percentage of 11.33% through her personal account, 10.47% through the JIA as co-beneficiary with Filippos Varveris, and 10.47% as co-beneficiary with Alexandros Varveris).
