Notification of significant changes in voting rights
In accordance with the Transparency Directive, ELLAKTOR S.A. (hereinafter the “Company” or the “Issuer”) announces the notification received on 18 May 2026 from its shareholders regarding a change in its participation in the share capital and voting rights of the Company, as follows:
REGGEBORGH notified that, on 15.05.2026 (transaction date), it acquired 41,750,000 ordinary registered voting shares, representing 11.9905% of the Issuer’s share capital and voting rights, through an over-the-counter (OTC) transaction.
Following the above, REGGEBORGH directly holds 225,022,350 shares and voting rights, corresponding to an aggregate participation of 64.626% in the Issuer’s share capital and voting rights (as compared to 183,272,350 shares and voting rights, corresponding to a 52.635% participation prior to the transaction), with no indirect participation.
For reference, REGGEBORGH had previously notified the Hellenic Capital Market Commission and the Issuer (TR-1 notification dated 16.01.2025) of the acquisition on 13.01.2025 of 10,400,000 shares, representing 2.9868% of the total voting rights of the Issuer. Following that notification, REGGEBORGH held 178,072,350 shares, representing 51.142% of the total voting rights of the Issuer, as well as a call option over 5,200,000 shares, representing 1.493% of the total voting rights of the Issuer, corresponding to an aggregate position of 52.635%.
Additional Information:
The present notification is made due to a change exceeding 3% in the participation and voting rights held by REGGEBORGH INVEST B.V. in the share capital of ELLAKTOR S.A.
Considering the Company’s treasury shares, namely 2,027,000 treasury shares, REGGEBORGH INVEST B.V.’s participation in the share capital and voting rights of the Company amounts to 65.004%.
REGGEBORGH INVEST B.V. is not controlled by any natural person or legal entity, within the meaning of Article 3 of Law 3556/2007.
