ANNOUNCEMENT REGARDING TAX AUDIT RESULTS

SPRIDER STORES S.A. in accordance with the provisions of paragraph 4.1.3.1 of the Athens Exchange Regulation and Article 10 paragraph 1 of Law 3340/2005, informs the investing public that following the special tax audit for the fiscal year 2011, conducted by the auditors under article a. 82 paragraph 5 of Law 2238/1994, the relevant tax certification was issued with conclusion: "Qualified opinion and Emphasis of Matter"
Regarding the qualified opinion derived by the audit of the statutory auditors, it was found that due to the destruction of the books and records of the Company by the fire on 13/02/2012, there is apply of Article 32 of Law 2238/1994, as regards the determination of the net income of the company for the fiscal years 2009 to 2011 without the accounting records. For this reason, the statutory auditors have reservations about the adequacy of the provision that have been carried out by the Company on its financial statements for those unaudited fiscal years.
As regards the emphasis matter, the statutory auditors drew the attention of investors in Note 5.15 of the financial statements, which describes that the parent company due to no compliance with specified financial ratios of an existing syndicated bond loan amounting € 22.600 thou., is in the process of negotiating with the banks to redefine the terms of this loan. Moreover, in note 6.4, there is reference to the fact that total current liabilities of the parent company and the Group exceeds the total current assets by the amount of € 25.386 thou. and € 28.457 thou., respectively, which may indicate the uncertainty as regards the continuation of the activity of the parent company and the Group, which depends on the renegotiation of the existing debt of the parent company. As mentioned in the same note, the Group's management has planned to take appropriate measures to improve its financial position and the smooth continuation of its operations. In the opinion of the statutory auditors there is no reservation with respect to this matter.
