S&B Industrial Minerals S.A. (the Issuer), pursuant to the provisions of article 14 of Law 3556/2007, article 10 of Law 3340/2005, as they currently apply, and in combination with the relevant decisions of the Hellenic Capital Market Commission and the notifications and relevant TR-1 forms the Issuer received on 11 June 2012, announces the following:

1.     Blue Crest Holding S.A., a legal entity based in Luxemburg and wholly controlled by its sole shareholder Mrs Aikaterini G. Kyriacopoulos, acquired from the latter through an over-the-counter transaction on June 8, 2012 3,761,028 common, vote-bearing shares of the Issuer, representing 7.36% of its total share capital and voting rights, and as a result its direct participation in the total voting rights of the Issuer surpassed 20%.

2.     Blue Water Holding S.A., a legal entity based in Luxemburg and wholly controlled by its sole shareholder Ms Flora Maria P. Kyriacopoulos, acquired from the latter through an over-the-counter transaction on June 8, 2012, 356,221 common, vote-bearing shares of the Issuer, representing 0.7% of its total share capital and voting rights, and as a result its direct participation in the total voting rights of the Issuer surpassed 5%.

Based on the transactions that were notified to the Issuer on June 11, 2012 by Blue Crest Holding S.A. and Blue Water Holding S.A. by means of the TR-1 Notification forms that were submitted to the Issuer, the number of shares and voting rights of the above mentioned shareholders of the Issuer change as follows:

1.     After the above mentioned transaction, the number of shares and voting rights that are directly held by Blue Crest Holding S.A. in the Issuer amounts to 11,109,753 (i.e. 21.74% of the total share capital and voting rights of the Issuer) from 7,348,725 (i.e., 14.38% of the total share capital and voting rights of the Issuer) before such transaction. It is hereby clarified, that all the voting rights held by Blue Crest Holding S.A. are 100% controlled by Mrs Aikaterini G. Kyriacopoulos.

2.     After the above mentioned transaction, the number of shares and voting rights that are directly held by Blue Water Holding S.A. amounts to 2,688,824 (i.e., 5.26% of the total share capital and voting rights of the Issuer) from 2,332,603 (i.e., 4.56% of the total share capital and voting rights of the Issuer) before such transaction. It is hereby clarified, that all the voting rights of Blue Water Holding S.A. are 100% controlled by Ms Flora Maria P. Kyriacopoulos.
