RESOLUTIONS OF THE COMPANY'S REPEAT  GENERAL MEETING

           VIOHALCO, HELLENIC COPPER AND ALUMINIUM INDUSTRY, S.A. announces,  that on Wednesday June 26, 2013, at 10.00 hours, took place the Repeat Annual General Meeting of the Company, as provided by the initial notice to the shareholders, according to the article 29 par. 2 of C. L. 2190/1920,  at the PRESIDENT hotel,43 Kifissias Avenue–Athens.

With  (92) shareholders being present, representing 131.163.790 shares, namely 65,76% of the total number of the 199.474.091 shares, into which the Company's share capital is divided.

On the 2 items of the Agenda the shareholders decided as follows:

ITEM 1: A new Board of Directors was elected, according to the provisions regarding corporate governance, the term of office of which will be one year – until the next Annual General Meeting or Repeat Annual General Meeting – with the following members:

1)     Nicholas Stassinopoulos

2)     John Fikioris

3)     Andreas Kyriazis, independent member

4)     Charalambos Metaxopoulos

5)     Evangelos Moustakas

6)     Zacharias Hadjipanayiotou, independent member

7)     Athanassios Papaspyrou

8)     Francis Mer

9)     Jean-Pierre de Launoit

Number of shares to which corresponded valid votes:  131.163.790 (100% of the votes present). Number of votes for: 103.909.200 (79,22% of the votes present), against: 2.205.153 (1,68% of the votes present), abstained from voting: 25.049.437 (19,10% of the votes present.).

ITEM 2: As members of the inspection committee, according to the article 37 of L. 3693/2008 were elected the following 3 members of the above Board of Directors.

1)     Zacharias Hadjipanayiotou, independent member

2)     Athanassios Papaspyrou

3)     Charalambos Metaxopoulos

Number of shares to which corresponded valid votes: 131.163.790 (100% of the votes present). Number of votes for: 105.171.037 (80,18% of the votes present), against:     315.947(0,24% of the votes present), abstained from voting: 25.676.806 (19,58% of the votes present).
