CYPRUS POPULAR BANK PUBLIC CO LTD (“Bank”) announces that on November 27, 2012 the Cyprus Securities and Exchange Commission approved the Prospectus which has been prepared in accordance with the Public Offer and Prospectus Law of 2005 (N114(I)/2005) and Regulation 809/2004 (as amended by Regulations 486/2012 and 862/2012) of the European Commission, and which relates to:

• The listing for trading on the Cyprus Stock Exchange of a Bond in the form of 5.000 Guaranteed Bonds, bearing an annual fixed interest rate of 5%, of nominal value €100.000 each (namely of total nominal value €500.000.000) in accordance with the Law on the Granting of Government Guarantees for the Conclusion of Loans and/or the Issue of Bonds by Credit Institutions, of 2012 (N.156(I)/2012), the (Amending) Law on the Granting of Government Guarantees for the Conclusion of Loans and/or the Issue of Bonds by Credit Institutions, of 2012 (N.162(I)/2012), the Decree on the Granting of Government Guarantees for the Conclusion of Loans and/or the Issue of Bonds by Credit Institutions, of 2012 (ΚΔΠ 439/2012) and the (Supplementary) Decree on the Granting of Government Guarantees for the Conclusion of Loans and/or the Issue of Bonds by Credit Institutions, of 2012 (ΚΔΠ 445/2012). 

The Prospectus dated November 27, 2012, as approved by the Cyprus Securities and Exchange Commission, will be available without charge during the effective period of the Prospectus:

 The Bank is in the process of listing the Bond on the Cyprus Stock Exchange.  The trading of the securities will commence after obtaining the relevant approval of the Cyprus Stock Exchange.
