Announcement to the Athens Stock Exchange

Completion of the absorption process of the industrial sector of SIDENOR S.A. by DEPAL S.A., a 100% subsidiary

Following the announcement No. 21009/4/1/2013 of the Registry G.E.MI., SIDENOR S.A. according to articles 10 par. 1 of L. 3340/2005 and the Decision No. 3/347/12.07.2005 of the Hellenic Capital Market Commission, announces that on 31/12/2012 the General Electronic Commercial Registry (G.Ε.ΜI.) registered, with Registration Number 26751, the Decision No. 29659/12-19/12/2012 of the Vice Commissioner of Central Athens District, according to which it was approved:

-      the absorption by the 100% subsidiary DEPAL S.A. of the spined-off industrial sector “processing of steel scrap for the production of long steel products” of SIDENOR S.A., pursuant to the provisions of articles 1-5 of L. 2166/93, based on Transformation Balance Sheet 31/10/2012 and pursuant to the Notary act No. 5728/14-12-12 of the Athens Notary Mrs. Marina G. Karageorgi, as well as

-      the amendment of articles 1 (Corporate Name) and 5 (Share Capital) of the Articles of Associations of DEPAL S.A., following relevant decision of the General Assembly of 11/12/12, according to which its corporate name changes to SIDENOR STEEL INDUSTRY S.A. with share capital standing at euro 2,725,245 divided into 403,740 shares of nominal value euro 6.75.
