S&B Industrial Minerals S.A. (the “Company”), announces that it has been notified of the approval, by the Board of Directors of the Hellenic Capital Markets Commission, of the Information Memo and the start of the acceptance period, in relation to the mandatory tender offer launched by DELPHI LUXEMBOURG HOLDINGS S.À R.L. (the “Offeror”) as announced and submitted on 30 January 2013.

Starting 11 April 2013 and until the end of the acceptance period, shareholders of the Company may obtain copies of the Information Memo (available only in Greek), the acceptance form and information related to the acceptance procedure, from any network branch of EFG Eurobank in Greece.

As of 11 April 2013, the Information Memo shall be available (only in the Greek language), free of charge, at (a) the offices of the Offeror's advisor (Eurobank Equities, Filellinon 10 & Xenofontos 13, 10557 Athens) and (b) any network branch of EFG Eurobank in Greece. It will also be available in electronic form on the website of the Offeror's advisor www.eurobankequities.gr,the Company www.sandb.com and the Athens Exchange www.ase.gr
