S&B Industrial Minerals announces that the merger through absorption of its 100% subsidiary company with the name "PARNASSOS S.A. Insurance" was decided according to the provisions of article 78 of C.L. 2190/1920 and articles 1-5 of L.2166/1993. S&B Industrial Minerals S.A. will not issue new shares as a result of the merger, since it possesses the total share capital of the absorbed company. The publication of the Draft Merger Agreement and the Transformation Balance Sheet dated 30.6.08 and the remaining documents provided in article 73 par. 1 section a, b, and c of C.L. 2190/1920 will take place at least one month before the merger becomes effective, to ensure that all shareholders of S&B Industrial Minerals S.A. and creditors have the right to be informed.
