ANNOUNCEMENT

MODIFICATION OF COMPANY'S ARTICLES OF ASSOCIATION IN VIEW OF THE ANNUAL SHAREHOLDERS MEETING ON 27^TH MAY 2014

By virtue of the provisions of Article 19 par.2 of  Law 3556/2007 SIDENOR S.A. announces that according to item 7 of the agenda of the Annual shareholders' meeting which will take place on 27^th May 2014, it will be proposed that company's Articles of Association related with the name and the purpose are modified as follows:

“ARTICLE 1

A Societe Anonyme company with the corporate name ‘'SIDENOR HOLDING COMPANY SOCIETE ANONYME'' is hereby incorporated.

For its transactions abroad, the company's corporate name and distinctive title shall be truly translated or with Latin characters.

ARTICLE 3

3.1 “The purpose of the company is:

a) to acquire and to transfer participations in companies or corporations or legal entities, of any form and economic activity, whether Greek or foreign, to hold and to manage such participations; and

b) to finance, in any form, the companies, corporations or legal entities, in which it holds a participation.

3.2 The company may carry out any financial activity, commercial or industrial, including real estate or intellectual property transactions and make any other investment that serves in any way and extent, whatsoever, the aforementioned purpose”.
