ANNOUNCEMENT

Sidenor Holdings S.A. (hereinafter Sidenor Holdings) announces to the public that, following the registration of  the common draft terms of  the cross-border merger by absorption of Sidenor Holdings by the Belgian company Viohalco S.A. (hereinafter Viohalco), on May 29, 2015, in the General Commercial Registry (GEMI) of the Ministry of Economy, Infrastructure, Marine and Tourism, the following documents are placed at the shareholders' disposal at Sidenor Holdings' registered office, 2-4 Mesogeion  Ave., Pyrgos Athinon, Building B:

1.            The Common Draft Terms of the Cross-Border Merger.

2.            The explanatory Report of the Board of Directors of Sidenor Holdings, prepared pursuant to article 5 of the greek law 3777/2009, as now in force.

3.            The explanatory Report of the Board of Directors of Viohalco, prepared   pursuant to article 772/8 of the Belgian Companies Code.

4.            The Report of the common expert, Belgian audit firm, VMB Bedrijfsrevisoren  CVBA,  required by article 6 of the greek law 3777/2009, as now in force, and, article 772/9, par. 1 of the Belgian Companies Code.

5.            The annual financial statements, as well as the reports of the Board of Directors of the merging companies for the last three financial years.
